1.General Information

These Terms and Conditions (“Terms”) govern all business relationships between Digital Perception UG (haftungsbeschränkt), registered in Germany (“we,” “us,” “our”), and any client or visitor (“you,” “your”) using our website, services, or related materials.

By using our website or engaging our services, you agree to these Terms. If you do not agree, please refrain from using our services.

2. Scope of Services

Digital Perception UG provides software development, Odoo implementation and hosting, web and mobile application development, and related consulting services.
Specific service details, deliverables, and pricing are defined individually in written proposals or contracts agreed with the client.

3. Quotations and Proposals

All quotations or proposals are non-binding until formally accepted by both parties. Prices are listed in euros (€) unless otherwise specified and are subject to applicable VAT.

4. Client Responsibilities

Clients are responsible for:

  • Providing accurate project information, access credentials, and necessary content.
  • Ensuring all materials provided do not infringe third-party rights.
  • Backing up data before any migration or system changes, unless we have agreed to handle backups.

5. Intellectual Property

Unless otherwise agreed in writing, all source code, design, and documentation created by us remain our intellectual property until full payment is received.
After full payment, ownership or usage rights are transferred as specified in the contract.

6. Payment Terms

Invoices are payable within 14 days from the invoice date unless stated otherwise. Late payments may incur interest as permitted under German Commercial Code (§288 BGB).

7. Hosting and Third-Party Services

Where hosting or third-party integrations are involved, their own terms and SLAs apply in addition to these Terms. We are not responsible for outages or failures caused by third-party providers.

8. Liability

We are liable only for damages caused by intent or gross negligence.
In case of minor negligence, liability is limited to foreseeable damages typical for this type of contract.
This limitation does not apply to injury to life, body, or health.

9. Data Protection and Confidentiality

We process personal data strictly in accordance with the EU General Data Protection Regulation (GDPR) and German privacy laws.
All project-related data, access credentials, and confidential information are treated as strictly confidential.

10. Jurisdiction and Applicable Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict of law rules.
Place of jurisdiction for any disputes shall be our registered office in Germany.

11. Changes to the Terms

We may update these Terms from time to time to reflect changes in legal, technical, or business conditions.
The latest version will always be published on our website with the date of revision.
